THE WELL COMMUNITY CHAPEL 46 VICTORIA ST. WEST – ALLISTON, ON

1)         CALL TO ORDER:

– Meeting was called to order by M. Fracassi at 2:04pm.  Directors & Officers in attendance: B. Laidler, President, Treasurer; S. Laidler, Secretary; K. Berg, Director, Vice-President; J. McKay, Director; M. Fracassi, Director

In attendance – 12 members & 5 guests 

M. Fracassi opened in prayer.  M. Fracassi was unanimously appointed to Chair the meeting.  M. Fracassi made motion to “waive any irregularities” with regards to giving notice of the Annual General Meeting to Members and motion was unanimously approved.  M. Fracassi tabled the agenda, and it was unanimously approved.  It was determined a quorum was present to conduct business.

2)         READING OF PREVIOUS MEETING MINUTES:

            – M. Fracassi moved that S. Laidler read the May 2024 AGM minutes. – S. Laidler read minutes.

            Be it resolved that the 2024 members minutes of meeting as read were unanimously approved and accepted by the members.

3)         READING OF PREVIOUS UNAUDITED FINANCIAL STATEMENTS:

            – M. Fracassi moved that S. Laidler read the 2024 financial statements.  S. Laidler read statements.

            Be it resolved that the 2024 unaudited financial statements as read were unanimously approved and accepted by the members.

4)       NEW BUSINESS

          –  K. Berg moved for a Special Resolution to be made to amend bylaw 2.02 for EFI banking arrangements to be changed as follows:

CURRENT BYLAW:

           The banking business of the Corporation (Emmanuel Fellowship) shall be transacted at such    bank, trust company or other firm or corporation carrying on a banking business in Canada or elsewhere as the Board with the President may designate, appoint or authorize from time to time.  The banking business or any part of it shall be transacted by the President and the Vice President.  

AMENDED BYLAW:

           The banking business of the Corporation (Emmanuel Fellowship) shall be transacted at such bank, trust company or other firm or corporation carrying on a banking business in Canada or elsewhere as the Board with the President may designate, appoint or authorize from time to time.  The banking business or any part of it shall be transacted by an Officer or Officers of the Corporation, and/or other persons the Board with the President may from time to time designate, direct or authorize.

 Be it resolved that EFI Membership unanimously approved amendment to bylaw 2.02.

  -J. McKay gave update on overall EFI Membership numbers – total 74, ON 67, NB 4, NF 1, NS 1, US 1.
– S. Laidler gave update on EFI website.
– B. Laidler moved that the current Directors be voted in for next 4-year term.

Membership unanimously approved that Board remain as is B. Laidler, K. Berg, J. McKay, M. Fracassi.

– B. Laidler discussed plans to resign as President of EFI at some point during the next term but remain on the Board of Directors.

5)         OPEN FORUM:

              Inquiries were brought forward regarding an accessible EFI Membership and Ministry
database (list) to aid and encourage deeper fellowship between members and affiliated
ministries.  The Board communicated that they were working through details regarding this matter.

5)         NEXT MEETING DATE:

            The next meeting date was left TBD.

6)         ADJOURNMENT:

            It was moved by B. Laidler and unanimously approved that the meeting be adjourned.

J. McKay closed in prayer. The meeting was adjourned at 3:08pm.
